Why do we use it?

Contrary to popular belief, Lorem Ipsum is not simply random text. It has roots in a piece of classical Latin literature from 45 BC, making it over 2000 years old. Richard McClintock, a Latin professor at Hampden-Sydney College in Virginia, looked up one of the more obscure Latin words All the Lorem Ipsum generators on the Internet tend to repeat predefined chunks as necessary, making this the first true generator on the Internet. It uses a dictionary of over 200 Latin words, combined with a handful of model sentence structures, to generate Lorem Ipsum which looks reasonable. The generated Lorem Ipsum is therefore always free from repetition, injected humour, or non-characteristic words etc.

Welcome to Bbalefam, an online B2B marketplace connecting buyers, suppliers, manufacturers, service providers and industry professionals across Africa.

These Terms & Conditions govern your access to and use of the Bbalefam website, marketplace, products, services, accounts and related features.

By accessing or using Bbalefam, you agree to these Terms & Conditions. If you do not agree with these terms, you should not use the platform.

1. About Bbalefam

Bbalefam is a digital B2B marketplace designed to help businesses discover products, suppliers, services and commercial opportunities.

The platform may facilitate:

  • Product discovery
  • Supplier discovery
  • Business profiles
  • Product listings
  • Service listings
  • Buyer enquiries
  • Requests for Quotations (RFQs)
  • Business communications
  • Marketplace transactions where enabled
  • Industry opportunities and resources

Unless expressly stated otherwise, Bbalefam is not the manufacturer, owner or seller of products listed by independent suppliers.

2. Eligibility

You must provide accurate information when creating an account or using marketplace services.

By using Bbalefam, you confirm that:

  • You are legally capable of entering into an agreement.
  • Information you provide is accurate and current.
  • You will use the marketplace for lawful business purposes.
  • You will not impersonate another person or business.
  • You will not use the platform for fraudulent or deceptive activities.

Where an account is created on behalf of a company or organisation, the person creating the account confirms that they have authority to represent that organisation.

3. Buyer Accounts

Buyers may create accounts to:

  • Search for products and services
  • Contact suppliers
  • Submit enquiries
  • Request quotations
  • Manage orders where applicable
  • Save products or suppliers
  • Access marketplace features

You are responsible for keeping your login credentials secure.

You must notify Bbalefam if you believe your account has been accessed without your permission.

4. Supplier Accounts

Suppliers may create accounts to:

  • Create a supplier profile
  • List products
  • List services
  • Receive enquiries
  • Respond to RFQs
  • Communicate with potential buyers
  • Promote their business

Suppliers are responsible for ensuring that all information submitted to Bbalefam is accurate and up to date.

5. Product & Service Listings

Suppliers must provide accurate information about products and services, including where applicable:

  • Product name
  • Description
  • Specifications
  • Images
  • Price
  • Availability
  • Location
  • Delivery information
  • Warranty information
  • Return conditions

Suppliers must not upload misleading, fraudulent, counterfeit, illegal or prohibited products.

Bbalefam reserves the right to review, edit, reject, suspend or remove listings that violate these Terms.

Uganda’s Electronic Transactions Act specifically requires online sellers to provide consumers with information such as seller identity, physical/contact information, product characteristics, pricing, payment method, delivery information and return/refund terms.

6. Pricing

Where prices are displayed, suppliers are responsible for ensuring that pricing information is accurate.

Unless otherwise stated, displayed prices may not include:

  • Shipping
  • Customs duties
  • Taxes
  • Import charges
  • Installation
  • Insurance
  • Other applicable charges

Buyers should confirm the final commercial terms with the supplier before completing a transaction.

7. Orders & Transactions

Where marketplace checkout is available, an order may be placed through the platform.

Where a transaction is completed directly between buyer and supplier, the buyer and supplier are responsible for agreeing:

  • Product specifications
  • Quantity
  • Price
  • Payment terms
  • Delivery
  • Installation
  • Warranty
  • Returns
  • Taxes and duties
  • Other contractual conditions

Bbalefam does not automatically become a party to the contract between the buyer and supplier merely because the transaction was discovered or initiated through the marketplace.

8. RFQs

Bbalefam may allow buyers to submit Requests for Quotations.

An RFQ does not automatically constitute an order or binding purchase agreement.

Suppliers may respond with:

  • Pricing
  • Product specifications
  • Availability
  • Delivery terms
  • Payment terms
  • Other commercial information

The buyer and supplier remain responsible for agreeing on the final transaction.

9. Payments

Where Bbalefam provides an online payment facility, available payment methods and applicable charges will be displayed at checkout.

Where payment is made directly to a supplier, the supplier is responsible for the agreed payment arrangements.

Users must not use Bbalefam to facilitate unlawful financial transactions.

10. Delivery

Delivery arrangements may vary by supplier, product and destination.

Suppliers should provide accurate delivery information where applicable.

Buyers are responsible for reviewing:

  • Delivery location
  • Delivery timeframe
  • Shipping charges
  • Import requirements
  • Customs duties
  • Taxes
  • Installation requirements

11. Returns & Refunds

Returns and refunds are governed by the applicable supplier’s policy and, where applicable, Bbalefam’s marketplace policies.

12. Prohibited Activities

Users must not:

  • Upload fraudulent information.
  • Sell illegal goods.
  • Sell counterfeit goods.
  • Misrepresent products.
  • Manipulate reviews or ratings.
  • Create fake supplier accounts.
  • Use another person’s identity.
  • Send spam.
  • Attempt unauthorised access.
  • Introduce malicious software.
  • Abuse marketplace communication tools.
  • Use the platform for unlawful activity.
  • Circumvent legitimate platform fees or restrictions.

Bbalefam may suspend or terminate accounts involved in prohibited activities.

13. Intellectual Property

The Bbalefam name, logo, website design, software, graphics, content and other platform materials may be protected by intellectual property rights.

Users may not reproduce, copy, modify, distribute or commercially exploit Bbalefam materials without appropriate permission.

Suppliers retain responsibility for ensuring that they have the necessary rights to upload product images, logos, documents and other materials.

By uploading content, you grant Bbalefam the permission necessary to display and promote that content through the marketplace.

14. Supplier Verification

Bbalefam may introduce supplier verification processes.

A verification badge or status should only be interpreted according to the specific verification criteria communicated by Bbalefam.

Verification does not guarantee:

  • Product quality
  • Supplier performance
  • Financial reliability
  • Delivery performance
  • Compliance with every applicable law
  • Successful completion of a transaction

15. Reviews & User Content

Users may be permitted to submit reviews, comments, images or other content.

Users must ensure that submitted content is:

  • Accurate
  • Relevant
  • Lawful
  • Non-defamatory
  • Non-discriminatory
  • Free from malicious content

Bbalefam may remove content that violates its policies.

16. Marketplace Availability

Bbalefam aims to maintain a reliable marketplace but does not guarantee that the platform will always be:

  • Available
  • Error-free
  • Uninterrupted
  • Free from technical problems

The platform may occasionally be unavailable for maintenance, upgrades or technical reasons.

17. Third-Party Suppliers

Bbalefam may provide links, profiles and listings relating to independent businesses.

Bbalefam is not responsible for independent suppliers’:

  • Products
  • Services
  • Representations
  • Pricing
  • Availability
  • Delivery
  • Warranties
  • Returns
  • Business practices

Buyers should conduct appropriate due diligence before entering significant commercial transactions.

18. Limitation of Liability

To the extent permitted by applicable law, Bbalefam will not be responsible for losses arising solely from disputes between independent buyers and suppliers.

Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded.

19. Account Suspension

Bbalefam may suspend, restrict or terminate an account where it reasonably believes that the user:

  • Violated these Terms
  • Provided false information
  • Engaged in fraud
  • Misused the marketplace
  • Created a security risk
  • Engaged in unlawful activity

20. Privacy

Personal information collected through Bbalefam is handled in accordance with the Privacy Policy.

Bbalefam will process personal information in accordance with applicable data-protection requirements.

Uganda’s Data Protection and Privacy Act regulates the collection and processing of personal information and establishes obligations for data controllers, processors and collectors. UlII

21. Changes to These Terms

Bbalefam may update these Terms from time to time.

Updated Terms will be published on this page with a revised “Last Updated” date.

22. Governing Law

Unless otherwise required by applicable law, these Terms shall be governed by the laws of Uganda, subject to any mandatory laws applicable to users or transactions in other jurisdictions.
